These Order Terms and Conditions (“Terms”) govern the placement of orders (“Order”) with Wavertech Ltd. (“we,” “us,” or “Wavertech Ltd.”) for hardware products, accessories, and related items (“Products”). Our online store sells to business customers only. By placing an Order, you confirm that you are acting for purposes relating to your trade, business or profession and not as a consumer. By submitting an Order, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Order Reservation
When placing an Order, you must provide accurate and up-to-date billing and shipping information, including your company name and, for orders within the European Union, a valid VAT identification number. You are responsible for ensuring the accuracy of this information. Wavertech Ltd. is not responsible for delays, losses, or errors resulting from incorrect or incomplete details. You may update your information prior to shipment by contacting [email protected].
We reserve the right to decline or delay Orders, including due to limited availability or risk and fraud screening. If an Order is declined after payment, amounts paid will be refunded to the original payment method within fourteen (14) days. Refund timing may vary depending on your payment provider.
2. Payment
Payment in full is required at the time an Order is placed, unless otherwise stated on the order page. If Wavertech Ltd. is unable to ship the Products within one (1) month of the Order date, you may request a full refund. Payments are processed in EUR. Any currency conversion, bank, or international transaction fees are the responsibility of the customer.
3. Priority
Orders are fulfilled on a first-come, first-served basis. Order sequence does not guarantee a specific serial number, production batch, or identifier.
4. Delivery, Customs and Risk
Delivery dates are estimates only. Wavertech Ltd. does not guarantee shipment by any specific date and is not liable for delays, including delays caused by carriers, customs procedures, or circumstances beyond its reasonable control such as natural disasters, pandemics, supply chain disruptions, or government actions.
Risk of loss. Risk of loss or damage passes to you when the Products are delivered to the delivery address you provided or, if you arrange your own carrier or freight forwarder, when the Products are handed over to that carrier. If a shipment is lost or damaged before delivery, we will file a claim with the carrier and, once the carrier confirms the loss or damage, replace the Products or refund the amount paid for them.
Inspection on delivery. Please inspect each shipment on delivery and, where possible, note any visible damage to the packaging with the carrier. Transport damage or missing items must be reported to [email protected] within three (3) business days of delivery, with photos of the packaging and the Products. If tracking shows a shipment as delivered but you have not received it, you must notify us within seven (7) days so we can open an investigation with the carrier. We cannot accept transport claims reported after these periods. Defects not visible on delivery are handled under our Returns and Warranty Policy.
Customs and import. Unless otherwise agreed in writing, shipments to destinations outside the European Union are made on a Delivered at Place (DAP, Incoterms® 2020) basis, and you act as the importer of record. You are responsible for all customs duties, import taxes, clearance and brokerage fees, and for any import licences, permits or local regulatory approvals required for the Products in your country, which you should confirm before ordering. You must respond promptly to any request from the carrier or customs authorities for documents, information or payment.
Undeliverable, refused or uncollected shipments. If a shipment cannot be delivered or cleared because the delivery details are incorrect, you refuse delivery, the shipment is not collected, duties or fees are not paid, required import approvals are missing, or you do not respond to the carrier, customs or us within fourteen (14) days of being contacted, the shipment may be returned to us or abandoned by the carrier. You are responsible for all resulting costs, including return shipping, storage, duties, taxes and fees charged to us. Once a returned shipment reaches us, we will offer to reship it at your cost or to cancel the Order. If you do not respond within thirty (30) days, we will cancel the Order and refund the amount paid for the Products, less the original shipping cost and all costs described above. No refund is due if a shipment is abandoned, destroyed or confiscated for any of these reasons.
5. Pricing
Prices are confirmed at the time of purchase and remain valid until delivery, unless an Order is cancelled and refunded.
6. Returns and Warranty
Return eligibility and warranty service are governed by our Returns and Warranty Policy and may vary by product category and destination. Unless otherwise required by mandatory law, Products must be returned in good condition with all included items and packaging. Return shipping costs are the responsibility of the customer unless the Product is confirmed to be defective under our warranty terms.
Nothing in these Terms limits rights that cannot be waived under applicable mandatory law.
7. Limitation of Liability
To the maximum extent permitted by law, Wavertech Ltd. shall not be liable for any indirect, incidental, special, or consequential damages arising from these Terms, an Order, or use of the Products (including loss of profits, loss of business, loss of data, or business interruption).
Wavertech Ltd.’s total aggregate liability for any claim shall not exceed the amount paid by you for the Product giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for willful misconduct or gross negligence where such limitations are not permitted.
8. Software and License Terms
Use of Products may be subject to applicable end user license agreements (EULAs) and software terms provided with the Products or by applicable licensors. Embedded firmware and device software are governed by the WAVER OS EULA and related documentation.
9. Age and Eligibility
By placing an Order, you confirm that you are at least eighteen (18) years old and authorised to enter into these Terms on behalf of the business you represent.
10. Customer Information and Data Protection
Personal data collected during the order process is handled in accordance with our Privacy Policy and applicable data protection laws, including the GDPR where applicable.
Wavertech Ltd. may reference customer names (and, where applicable, logos) in customer lists or portfolio materials based on legitimate business interests. You may object at any time by contacting [email protected], and we will make reasonable efforts to remove such references.
11. Amendments
Wavertech Ltd. may update these Terms from time to time. Changes will apply prospectively and will be published on our website.
12. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Republic of Bulgaria and applicable European Union law. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Sofia, Bulgaria.
